Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Appraise Properties platform, including the website, web application, API, Microsoft Office add-in, documentation portal, and all related services (collectively, the “Service”) provided by Appraise Properties, LLC (“Appraise Properties,” “we,” “us,” or “our”). By creating an account or using the Service, you (“you” or “User”) agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines referenced herein. If you do not agree to these Terms, you must not use the Service.

You must be at least 18 years old and capable of forming a binding legal agreement to use the Service. The Service is intended for professional use by licensed appraisers, appraisal firms, and their authorized personnel.

Description of Service

Appraise Properties is a cloud-based commercial real estate appraisal management platform. The Service includes, but is not limited to:

  • Property database management and search
  • Appraisal assignment tracking and workflow management
  • Comparable sale, lease, income/expense, and cost data management
  • Interactive mapping and geospatial analysis tools
  • Microsoft Office integration (Word and Excel add-ins) for report generation
  • Client and contact management
  • Bidding pipeline for appraisal engagements
  • AI-powered natural language search
  • Accounting integration (e.g., QuickBooks)
  • Documentation and client portal access
  • API access for programmatic integration

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable. We will endeavor to provide advance notice for material changes that affect your use of the Service.

Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account and provide accurate, current, and complete information. You agree to keep your account information up to date. Providing false or misleading information may result in account suspension or termination.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You agree to:

  • Use a strong, unique password for your account.
  • Enable two-factor authentication (2FA) where available, especially for administrator accounts.
  • Notify us immediately if you suspect unauthorized access to your account.
  • Not share your credentials with unauthorized individuals.

You are liable for all activities that occur under your account, whether or not authorized by you, until you notify us of a security breach.

3.3 Organization Accounts

Organization administrators are responsible for managing member access, roles, and permissions within their organization. Administrators may add or remove members, assign roles, and configure data access policies. Organization data belongs to the organization and is subject to the administrator’s control.

Subscription Plans and Billing

4.1 Subscription Plans

The Service is offered through subscription plans with varying features, usage limits, and pricing. Current plan details, pricing, and feature comparisons are available on our Pricing page. We reserve the right to modify pricing with at least 30 days’ prior written notice. Price changes will take effect at the start of your next billing cycle.

4.2 Introductory Offers

We may occasionally offer pilot pricing, evaluations, discounts, or other introductory terms at our discretion. Any such offer will be described in the applicable checkout flow, order form, or written agreement before charges are applied, and only those specific written terms will govern the offer.

4.3 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.
  • All fees are stated in U.S. dollars unless otherwise specified.
  • Payments are processed through our third-party payment processor. By providing payment information, you authorize us to charge your selected payment method.
  • You are responsible for all applicable taxes, which may be added to your subscription fees.
  • Failed payments may result in service interruption after a reasonable grace period and notification.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period.
  • You will not be charged for subsequent billing periods.
  • You will retain access to your data for 30 days after your subscription ends, during which time you may export your data.
  • After the 30-day data retention period, your data will be securely deleted in accordance with our Privacy Policy.

4.5 Refunds

Subscription fees are generally non-refundable. However, we may issue refunds at our discretion in cases of billing errors, extended service outages, or other exceptional circumstances. Refund requests should be submitted through our contact page within 30 days of the charge in question.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any purpose that violates applicable local, state, national, or international law or regulation.
  • Access or attempt to access another user’s account without authorization.
  • Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure.
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise discover the source code of the Service, except as permitted by applicable law.
  • Use automated scripts, bots, or scrapers to access the Service except through our documented API, subject to applicable rate limits.
  • Upload or transmit viruses, malware, or other malicious code.
  • Use the Service to store or transmit content that infringes on the intellectual property rights of others.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Use the Service to harass, abuse, or harm any individual.
  • Circumvent or disable any security features or access controls of the Service.

We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating your account and reporting to law enforcement if necessary.

Your Data and Intellectual Property

6.1 Your Data

You retain all ownership rights to the data you upload, enter, or create using the Service (“Your Data”), including property records, appraisal data, client information, comparable data, reports, documents, and any other content. We do not claim ownership of Your Data.

6.2 License to Us

You grant us a limited, non-exclusive, worldwide license to host, store, process, display, and transmit Your Data solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete Your Data or close your account (subject to our data retention policies described in our Privacy Policy and applicable backup procedures).

6.3 Aggregated and Anonymized Data

We may create aggregated, de-identified, or anonymized data derived from Your Data and other users’ data that cannot reasonably be used to identify you or any specific property. We may use such aggregated data for analytics, benchmarking, product improvement, and industry research purposes.

6.4 Data Export

You may export Your Data at any time through the Service’s export features or API. We will provide reasonable assistance with data export upon request, particularly in connection with account closure.

6.5 Our Intellectual Property

The Service, including its software, design, features, documentation, trademarks, and all other elements, is owned by or licensed to Appraise Properties and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

Confidentiality

We understand that the data you store in the Service may contain sensitive and confidential business information, including client details, property valuations, and appraisal work product. We agree to:

  • Treat Your Data as confidential and not disclose it to third parties except as described in our Privacy Policy or as required by law.
  • Implement appropriate technical and organizational security measures to protect Your Data.
  • Restrict internal access to Your Data to personnel who require it to operate and support the Service.
  • Not use Your Data for any purpose other than providing and improving the Service.

Third-Party Integrations

The Service may integrate with or link to third-party products and services, including but not limited to Google Maps, Google Gemini, Microsoft Office, and QuickBooks. Your use of third-party integrations is subject to the applicable third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

When you enable a third-party integration, you authorize us to exchange data with that third-party service as necessary for the integration to function. You may revoke integration access at any time through your account settings.

API Usage

Access to our API is subject to the following additional terms:

  • API access may be subject to rate limits and usage quotas based on your subscription plan.
  • API keys are confidential and must be stored securely. You must not embed API keys in client-side code or publicly accessible repositories.
  • We may modify the API with reasonable notice. We will provide deprecation notices and migration guidance for breaking changes.
  • You must not use the API in a way that could damage, disable, or impair the Service.

Service Availability

10.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

10.2 Maintenance

We will endeavor to schedule maintenance during off-peak hours and provide advance notice for planned downtime. Emergency maintenance to address security vulnerabilities or critical issues may be performed without advance notice.

10.3 Support

Support is available in accordance with your subscription plan. Support channels and response times are described on our website.

Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

  • The Service will meet your specific requirements or expectations.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Service (including AI-powered features) will be accurate, reliable, or complete.
  • Any errors in the Service will be corrected.

The Service is a tool to assist licensed appraisers and does not constitute appraisal advice, legal advice, or a substitute for professional judgment. You are solely responsible for the accuracy and compliance of your appraisal work product and for ensuring your work meets applicable professional standards (including USPAP, state licensing requirements, and client engagement terms).

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Appraise Properties, its officers, directors, employees, agents, or affiliates be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, business opportunities, or goodwill;
  • Cost of procurement of substitute services;
  • Damages arising from errors, inaccuracies, or omissions in AI-generated search results or suggestions;

arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Appraise Properties, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Service or violation of these Terms.
  • Your Data or any content you upload, create, or share through the Service.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any appraisal reports, valuations, or work product you create using the Service.

Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and closing your account through account settings or by contacting support. Termination does not entitle you to a refund of any prepaid fees, except as otherwise provided in these Terms.

14.2 Termination by Us

We may suspend or terminate your account if:

  • You breach any provision of these Terms.
  • Your payment is past due after notice and a reasonable cure period.
  • We are required to do so by law.
  • Your use of the Service poses a security risk or may cause harm to other users or the Service.
  • Your account has been inactive for an extended period (we will provide notice before terminating inactive accounts).

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days following termination to allow you to export it, after which Your Data will be securely deleted (subject to legal retention requirements and backup procedures). Provisions that by their nature should survive termination will survive, including Sections 6, 7, 11, 12, 13, 15, and 16.

Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us through our contact page and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the state of Ohio, United States, or remotely by mutual agreement. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict-of-law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Ohio.

Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will:

  • Update the “Last updated” date at the top of this page.
  • Notify you by email or through a prominent notice within the Service at least 30 days before the changes take effect.
  • Where required by law, obtain your consent.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.

General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Appraise Properties regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.

We may provide notices to you via email to the address associated with your account, through in-app notifications, or by posting on the Service. You may provide notices to us through our contact page.
